Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Alex platform operated by Alex ("we," "our," or "us"). By creating an account or using our services, you agree to these Terms.

1. Eligibility

You must be at least 16 years old and have the authority to bind your organization (if applicable) to use Alex. By using the service, you represent that you meet these requirements.

2. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must provide accurate, current information and promptly update it if it changes. You agree to notify us immediately of any unauthorized use.

3. Acceptable Use

You agree not to:

  • Use Alex for any unlawful purpose or in violation of applicable laws
  • Attempt to gain unauthorized access to other tenants' data or systems
  • Reverse engineer, decompile, or attempt to extract source code from the service
  • Use Alex to generate spam, harassment, or harmful content
  • Exceed your plan's rate limits or attempt to circumvent usage controls
  • Resell or sublicense access to Alex without written permission
  • Use Alex to process data that violates third-party rights or regulations

4. Credit System and Billing

Alex uses a credit-based pricing system (1 credit = $0.01 USD). Credits are consumed when Alex processes your requests. Credit costs vary by task complexity and the AI model used.

  • Free tier: Includes a one-time allocation of 500 credits. When exhausted, you must upgrade to continue using the service.
  • Paid plans: Monthly credits are allocated at the start of each billing cycle. Unused credits roll over up to 2x your monthly allocation. Overage is billed at your tier-specific rate.
  • Top-ups: Credit top-ups are non-refundable and added to your balance immediately.

We display estimated credit costs before executing expensive operations. Actual costs may vary slightly from estimates.

5. Subscriptions and Cancellation

Paid subscriptions are billed monthly through Stripe. You may cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period. No pro-rated refunds are provided for partial months.

6. Data Ownership

You retain all rights to your data. We do not claim ownership of any content you submit to or generate through Alex. We do not use your data to train AI models. You grant us a limited license to process your data solely to provide the service.

7. AI-Generated Content

Alex uses third-party AI models (Anthropic Claude, OpenAI GPT) to generate responses. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and validating AI output before relying on it for business decisions.

8. Service Availability

We aim for 99.9% uptime for paid plans but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by third-party providers (AWS, Anthropic, Slack, Microsoft, Discord).

9. Limitation of Liability

To the maximum extent permitted by law, Alex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Alex and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service or violation of these Terms.

11. Termination

We may suspend or terminate your account if you violate these Terms, fail to pay outstanding charges, or if required by law. Upon termination, you may request a data export within 30 days, after which we will delete your data.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or dashboard notification at least 30 days before taking effect. Continued use of the service after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
